Ministry of Corporate Affairs (MCA), with the objectives of strengthening the Institution of Independent Directors and also to enhance its effectiveness by way of creating a pool of skilled professionals to act as Agents of Change, has developed a databank of Independent Directors along with Indian Institute of Corporate Affairs (IICA) with effect from December 02, 2019 in accordance with the provisions of the Companies Act, 2013.
Accordingly, any person who is willing to be appointed or is already an Independent Director is required to pass an ‘Online Proficiency Self-Assessment Test’ conducted by IICA with at least 50% marks.
Under the Companies (Appointment and Qualification of Directors) Fifth Amendment Rules, 2020, Independent Directors and aspiring Independent Directors who have served as a director for less than three years are required to successfully clear the Online Proficiency Self-Assessment Test as prescribed under the regulatory framework.
The Indian Institute of Corporate Affairs (IICA) has been conducting this online proficiency test since 1 March 2020. The assessment is designed to evaluate a candidate's understanding of corporate governance, company law, fiduciary responsibilities, and the key competencies expected of Independent Directors. Successfully qualifying the test demonstrates regulatory compliance and strengthens a professional's readiness to serve effectively on corporate boards.
